No.  All that seem to matter is BOM.

# echo -e 'all:\n\techo ok' > Makefile
# unix2dos Makefile
unix2dos: converting file Makefile to DOS format ...
# wine nmake.exe -nologo
fixme:heap:HeapSetInformation (nil) 1 (nil) 0
makefile(3) : fatal error U1034: syntax error : separator missing

# unix2dos --add-bom Makefile 
unix2dos: converting file Makefile to DOS format ...
# wine nmake.exe -nologo
