I can do the Windows 7 with Aero enabled-test if absolutely necessary but do
not readily have access to Windows 7. I think it is a safe bet that it _does_
work as gog.com is actively selling this game and cites it as being compatible
with "Windows XP, Vista, 7, and 8"
(http://www.gog.com/game/ultima_9_ascension).

To test the overlay theory, is the problem that Wine does not support DirectX
7-style overlays or that Wine merely does not report the flags correctly?
